General terms governing access to and use of the CJX platform.
These Terms of Service (“Terms”) govern your access to and use of the CJX platform and associated services provided by CJX Enterprise LLC (“CJX,” “Company,” “we,” “our,” or “us”). By registering for or accessing the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
CJX is a web-based communication and customer relationship management platform designed for insurance agencies. The Platform provides:
The Platform is accessed through a web browser. No software installation is required on Customer systems.
To use the Platform, you must register for an account and provide accurate, complete information. You are responsible for all use of the Platform under your credentials. Each agency subscription includes a designated number of user seats as specified in your subscription plan.
CJX reserves the right to refuse service, terminate accounts, or cancel orders at its sole discretion.
Access to the Platform is provided on a subscription basis. Subscription fees are billed in advance on a monthly or annual basis, as selected at the time of registration. By providing payment information, you authorize CJX to charge the applicable fees.
All fees are exclusive of applicable taxes, which you are responsible for paying.
Voice and SMS services are provided through third-party telephony providers. Usage of these services (outbound calls, SMS messages) may be subject to additional per-unit charges as specified in your subscription plan. You agree to use telephony services in compliance with all applicable telecommunications laws and regulations, including but not limited to the Telephone Consumer Protection Act (TCPA) and applicable Do Not Call regulations.
Our Privacy Policy, incorporated herein by reference, describes how we collect, use, and protect information in connection with the Platform. By using the Platform, you agree to our data practices as described in the Privacy Policy.
You represent and warrant that you have obtained all necessary consents and authorizations required to share any personal information or data with CJX through the Platform.
You may not use the Platform to:
CJX will use commercially reasonable efforts to maintain Platform availability, but does not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance where practicable. CJX is not liable for outages caused by circumstances beyond its reasonable control.
CJX reserves the right to modify, suspend, or discontinue any feature or functionality of the Platform at any time with reasonable notice. We will provide at least 30 days’ notice before discontinuing any core service feature.
You agree to indemnify, defend, and hold harmless CJX and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any third-party rights.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CJX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. CJX’S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRIOR TO THE CLAIM.
Any dispute arising from these Terms or your use of the Platform shall first be subject to good-faith negotiation. If unresolved after 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, in Michigan. You waive any right to a jury trial and to participate in class action proceedings.
These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles.
These Terms, together with our Privacy Policy and Data Protection Agreement, constitute the entire agreement between you and CJX with respect to the Platform and supersede all prior or contemporaneous agreements.
